What is the opportunity?

This is a fantastic opportunity to take up a senior company secretary and governance professional role in a high performing financial services organisation, working with a team of diverse and experienced individuals across Ireland and the UK.

The UK Company Secretary provides full company secretary support to the Board and Committees of BOI (UK) Plc and its subsidiary companies. The BOI UK Company Secretary will be responsible for ensuring compliance with the company's statutory and regulatory obligations as they relate to the company secretary role.

The UK Company Secretary attends the UK Executive Committee (ExCo) and is classified as a Material Risk Taker under criteria 1-15.

In this role you will:

  • Leading the Bank Of Ireland UK Company Secretarial function in the provision of timely and accurate information and advice to the Board and its Committees and ensuring compliance with related statutory and regulatory obligations.
  • Advising and supporting the Chair and the Board on good corporate governance practices.
  • Acting as a conduit between they Board and senior management (ExCo), providing expert advice to the business in terms of Board-level governance.
  • Maintaining an up-to-date knowledge of legal and governance developments and practices and providing advice to Senior Leadership on their responsibilities and the implications for them of any changes which arise.
  • Leading, coaching, motivating and developing a professional team to establish and maintain the highest secretarial and governance standards, expertise, and service to key partners.

Essential Qualifications

Relevant professional qualification (Chartered Secretary, Legal, Accounting). Relevant professional experience is crucial.

  • Significant experience in a senior role in a company secretary's office in a regulated financial service organisation.
  • Strong discernment underpinned by knowledge of corporate governance, current secretarial practices and corporate law.
  • Excellent planning, organisational and analytical skills with the ability to translate complex concepts into a meaningful picture.
  • Excellent communication skills (presentation and written).
  • Excellent interpersonal and relationship management skills with the ability to work credibly at executive and board level.
  • The ability to meet challenging objectives and deadlines.
  • Broad understanding of Retail Banking e.g. Risk, Regulatory, Communications, Strategy and Product areas is a bonus

The Group Secretary and Corporate Governance Team provides a full range of company secretarial, compliance and advisory services to Bank of Ireland Group and all its subsidiaries. The UK Company Secretary team is a small team based in the UK that provides direct company secretarial support and governance advice to the UK Board.
