Job Description
We have a newly created fixed term contract opportunity to support on transaction activity during a period of growth within the Tax Team. The role is to work within Group Tax to support Asset Management (and in particular Private Markets), Institutional Retirement and Corporate Investments on M&A and investment activity.
The role holder is responsible for leading (or, where relevant, supporting) the tax workstream across a portfolio of transaction activity and being the key point of contact for all relevant tax matters.
The role holder will be expected to work closely with other members of the tax team to ensure the right advice is sourced, the Group Tax Policy is adhered to, risks are appropriately flagged and accepted, and (where relevant) ongoing implementation obligations are communicated and understood.
What you'll be doing:
- Supporting the Head of Private Markets Tax and Head of Asset Management Tax and working with external advisors to structure property or property SPV acquisitions. This includes consideration of transaction tax issues (SDLT, LBTT, LTT, VAT), tax residence and PE, inherent gains, future use of property (investment vs build to rent vs develop to sell), direct tax issues, financing, transfer pricing and withholding tax.
- Supporting the Head of Insurance & Investments Tax and Head of Bermuda Tax and work with external advisors on investment tax matters, including advising on UK and international investment structuring, bearing in mind the Group's regulatory requirements.
- Supporting tax workstreams relating to corporate M&A or other corporate structuring matters. This could include corporate acquisitions, disposals, joint ventures or liquidations of group companies.
- Reviewing external advisors' tax due diligence reports and manage risks within Sale and Purchase agreements' warranties/indemnities drafting and purchase price negotiations.
- Translating L&G's tax risk appetite for external advisors and internal stakeholders, ensuring decisions taken are appropriate and within the tax policy. Drafting disclosures to HMRC when required. Escalate tax risks.
- Ensuring that relevant colleagues or external advisors are lined up to implement any post deal obligations, such as VAT registration and option to tax, capital allowance election, SDLT / LBTT / LTT returns, CIS returns, etc.
Qualifications
Who we're looking for:
- Qualified Accountant, or with sufficient experience of financial accounting to maintain up-to-date professional knowledge.
- Member or fellow of the Chartered Institute of Taxation or with sufficient tax experience to maintain up-to-date professional knowledge.
- Knowledge of UK Taxes Acts covering corporation tax, income tax, VAT and stamp duty to the extent that they apply to the companies in the group for which tax responsibility held.
- Understanding of the key concepts which drive regulation within our markets..
- Ability to communicate complex technical issues in a clear, simple manner to a wide audience and to solve complex problems at short notice and under stressed situations.
- Ability to review for trends, anticipate problems/omissions and consider potential ways to mitigate them.
- Building and developing strong relationships with staff, peers and other contacts within the business and with external stakeholders.
- Prioritisation, planning and organisation of multi task/person assignments.
