An exciting opportunity has arisen in the Office of General Counsel (OGC) for a full-time Assistant Company Secretary to support the Company Secretary with Company Secretarial and UK firm governance matters.
We are looking for a talented and enthusiastic Assistant Company Secretary who is able to provide prompt, practical and solutions-focused support as part of a wider team of lawyers in OGC.
The role offers the candidate a varied and interesting workload including broad exposure to the UK group entities and the Firm's legal entity management and governance activities, as well as the opportunity to be part of a high performing team and learning and development opportunities.
Key Responsibilities
- Providing end-to-end company secretarial services across the UK group structure ensuring these are best in class and fully integrated into the Firm's operations with a continuous improvement mindset
- Demonstrating strong understanding of the business and its evolving needs and adopting a pragmatic approach in navigating the firm's complex environment
- Advising a range of internal stakeholders, including senior stakeholders, leadership and statutory directors, to ensure legal and regulatory compliance across the UK business
- Responsibility for the maintenance of statutory records, registers and filings for UK group entities using Diligent Entities, ensuring that filing deadlines are met and that documents are issued for approval in good time
- Advising the members of Deloitte LLP and directors of the UK group subsidiaries on their statutory responsibilities and corporate governance issues
- Supporting the Company Secretary and Senior Corporate Governance Legal Counsel with a range of corporate governance matters including advising on best practice and ad hoc compliance projects
- Working closely with the UK OGC Corporate legal team and supporting on UK group structure changes, as well as corporate simplification
- Horizon scanning of relevant legislation to identify and mitigate potential risks which may impact the legal entities, partners and directors
- advising stakeholders on such matters
- Developing knowledge of and advising on best practices
- Supporting the Company Secretary in developing a high-performing company secretarial team and developing junior team members

The candidate will be a UK Company Secretary with an understanding of UK Company law and experience in legal entity management.
Skills and Experience
- Previous experience as a company secretary and/or with legal entity compliance
- In-house experience (some Professional Services or equivalent large complex organisational experience)
- Strong relationship building skills with key stakeholders throughout the business

- High integrity, absolute discretion, professionalism, maintains strict confidentiality

Personal independence
Regulation and controls are standard practice in our industry and Deloitte is no exception. These controls provide important legal protection for both you and the firm. We are subject to a number of audit regulations, one of which requires that certain colleagues abide by specific personal independence constraints (e.g., in relation to any financial interests and employment relationships). This can mean that you and your "Immediate Family Members" are not permitted to hold certain financial interests (shares, funds, bonds etc.) with audit clients of the firm, and also prohibitions on certain employment relationships (e.g., you are not permitted to hold a secondary employment role with SEC audit clients of the firm whilst being employed by the firm).
