An exciting opportunity has arisen in the UK Office of the General Counsel (UK OGC) team to play an integral role in the UK firm's governance. Working closely with the firm's Independent Non-Executives (INEs), Chairs of the UK governance bodies, UK Chief Risk Officer (UK CRO), Risk and Regulatory teams and Senior Leadership, you will be responsible for driving the governance agenda in alignment with the UK regulatory requirements and will serve as the primary contact into the firm for the INEs to ensure they are able to fulfil their roles and to enable the implementation of best practice governance systems across the UK firm.
This role requires a proactive and positive individual with strong governance project management and interpersonal skills and able to operate within a senior community within the firm acting with integrity and collaborating for measurable impact.
Key Responsibilities
UK Governance Bodies
- Providing the primary support to the Chairs of the firm's governance bodies (with a focus on the UK Oversight Board (UKOB) and Audit Governance Board (AGB)), driving the governance agenda for UKOB & AGB in accordance with their respective roles, responsibilities and the evolving regulatory landscape. The role will require an understanding of the UK firm's regulatory environment including the Audit Firm Governance Code.
- Address the requirements of the Audit Firm Governance Code.
- Managing the interface and agendas between the UK governance bodies to ensure the governance systems across the UK firm operate smoothly and coherently at all times.
- Liaising with stakeholders across the business to organise presentations to the UKOB & AGB. Arranging pre-meeting calls to discuss topics and ensure that presentations to the UKOB & AGB are relevant to what they need to cover.
- Attendance at the meetings of the UK governance bodies including private INE sessions as appropriate.
- Responsibility for production of meeting papers and meeting minutes for the UK governance bodies in an accurate and timely manner and ensuring that follow up actions are undertaken.
- Contribute to the drafting of key documents including the Annual Transparency Report.
INEs
- Onboarding and briefing INEs on the UK firm's governance arrangements including inductions and ongoing communications as appropriate relating to UK firm developments.
- Organising INE meetings with the Financial Reporting Council (FRC), coordinating internal briefings with INEs in advance of and following FRC meetings to discuss and capture key themes/topics.
- Preparing an annual engagement plan to allow the INEs to have visibility of the wider firm and engage with stakeholders to allow them to discharge their duties as per the Audit Firm Governance Code.
- Working with the INEs to agree their individual areas of responsibility, optimising their collective operation, including role allocation and effective collaboration.
- nsuring that INEs are aware of their evolving responsibilities, are appropriately deployed across the firm and are properly supported in discharging their duties and responsibilities (and retaining evidence of the activities of the INEs in discharging their duties).
- Preparing agendas, organising meetings and facilitating the INE private sessions (NEC meetings) to discuss matters relating to their remit and arrange for the INEs to meet with senior leadership and key management where required.
- Ensuring timely and effective two-way communication between INEs and senior leadership, enabling valuable advice, recommendations and constructive challenge from the INEs.
Regulatory engagement
- Partnering with the UK CRO and Audit & Assurance regulatory team (NAA) to understand forthcoming regulatory developments which may impact on the remit, responsibilities & composition of the UK governance bodies and/or the INEs.
- Supporting NAA in providing relevant information to regulators, such as FRC requests for meeting minutes/materials and any other requests from the firm's FRC supervisor or other regulators.
- Attending FRC supervisory meetings to support with minute taking alongside NAA who will lead on regulatory engagement.
- Coordinating internal briefings with the CRO and NAA in advance of and following FRC meetings to discuss and capture key themes/topics.
You will work as part of the UK OGC team working closely with UK OGC leadership, Corporate Governance Senior Legal Counsel and the OGC Company Secretarial team. You will play a crucial role in the UK firm's governance system, ensuring seamless interaction between UK OGC, UK governance bodies (including UKOB and AGB), INEs and Risk & Regulatory colleagues. You will be responsible for facilitating communication and collaboration between these groups, to promote a cohesive and robust governance framework and support stakeholders in navigating the evolving UK legal and regulatory landscape.

Skills and Experience
- In-house experience (some Professional Services or equivalent large complex organisational experience).
- Ideally proven experience in a governance-related Legal, Secretariat or Chief of Staff (or similar) role particularly within a professional services or regulated environment.
- Ability to navigate corporate governance principles and relevant regulatory frameworks, including the Audit Firm Governance Code.
- Highly organised and capable of managing wide range of senior stakeholders.
- Proven ability to facilitate collaboration and bring systems and stakeholders together.
- High integrity, absolute discretion, professionalism, maintains strict confidentiality.
- Strong interpersonal and communication skills both written and verbal.
- Pragmatic, solution focussed and strong problem-solving skills.
- Strategic thinking self-starter, with strong project management and time management skills.

Finance and Legal
We provide financial management and accounting support that is aligned to each area of Deloitte's business as well as the leadership team. We prepare the statutory and regulatory reporting required for Deloitte LLP and several other areas, whilst our General Counsel provides legal advice to the Board, the Executive and the Managing Partners.

We are subject to a number of audit regulations, one of which requires that certain colleagues abide by specific personal independence constraints (e.g., in relation to any financial interests and employment relationships). This can mean that you and your "Immediate Family Members" are not permitted to hold certain financial interests (shares, funds, bonds etc.) with audit clients of the firm, and also prohibitions on certain employment relationships (e.g., you are not permitted to hold a secondary employment role with SEC audit clients of the firm whilst being employed by the firm).
