Senior Legal Counsel - Investments

Apeiron Investment Group invests in and builds companies at the forefront of biotech, deeptech, fintech, and crypto. We manage our own balance sheet of more than USD 1bn plus external capital in our various venture funds of more than USD 1.5bn.

As Senior Legal Counsel - Investments, you will act as the primary point of contact between Apeiron's internal legal function and its Investment team. You will be instrumental in ensuring that when Apeiron is deploying capital that transactions are executed swiftly, to a professional standard, and in compliance with applicable laws and regulations. You will work together with the General Counsel and the investments team to identify areas of improvement in our documentation and standards deal-over-deal. You will also be responsible for managing the legal aspects of an investment (post-entry) alongside a responsible investment professional as part of our overall portfolio management strategy.

You will become a key business partner of the investments team, and a key collaborator on exits together with the General Counsel and the Advisory team. The successful candidate will be a highly motivated self-starter who is capable of managing transactions, setting and meeting deadlines with sound judgment on when (and what) to escalate.

Requirements

• Qualified lawyer in one or more jurisdictions
• 3-5 years of post-qualified experience at a law firm or an investment firm doing cross-border transactions
• Significant venture capital experience a plus

Responsibilities

Become a Trusted Advisor to the Investments Team:
• Serve as the primary first-level legal advisor to Apeiron's Investment Team, building a trusted relationship with investment professionals by provide swift, accurate and commercially minded advice.
• Stay up to date on key market and regulatory trends and developments in our target verticals and geographies.
• Develop fluency in relevant legal regimes outside of your jurisdiction of qualification as Apeiron invests globally.

Lead Legal Representation in New Money Private Investments

• Lead internal legal representation on all new money private company investments by Apeiron or Apeiron-sponsored vehicles.
• Support the General Counsel in managing relationships with core deployment counsel and managing the legal budget for projects.
• Ensure that deals are being executed swiftly, to a professional standard (including following Apeiron forms and policies to the greatest extent possible) and in compliance with applicable laws and regulations.

Support Strategic Vision and Projects:

• Constantly and proactively look to improve our documentation, processes and execution by proposing alternatives or improvements to the Legal and Investments teams.
• Support the General Counsel with strategic initiatives and special projects.
• Remain flexible in approach - no task should be too large or too small.
• Constantly learning and developing expertise in new areas of law and practice.

Lead Lawyer for a Dedicated Part of the Portfolio:

Lead legal coverage of a dedicated portfolio of private company investments, including:

• Follow-on investments
• Monitoring compliance with ongoing obligations (regulatory and contractual)
• Legal aspects of day-to-day relationship with portfolio company
• Identifying areas for improvement in Apeiron's position and opportunities to obtain them
• Escalating matters to the General Counsel and/or investment professionals as appropriate
