Senior Legal Counsel - Corporate Real Estate

In this role you will be the senior frontline member of the London based legal team partnering with CBREIM's Global Indirect and EMEA Direct business lines. The team sits with the business and plays a key role in both the raising and deployment of international institutional capital as well as a broad range of corporate balance sheet and operational matters. You will also be involved in establishing and refining processes and procedures that mitigate risk and ensure compliance with legal and regulatory requirements and will assist in establishing and implementing best practices, processes, and policies to support the execution of the CBREIM's global investment management strategy. You will partner daily with the investment and fundraising teams and senior management of the business lines and will report into, and work closely with, the General Counsel for Global Indirect and EMEA Direct who is based in London and leads a pan-European team of legal, compliance and risk professionals.

You will need:

  • At least 10 years of post-qualification experience in a top-tier international law firm with expertise in one or more of corporate real estate, private M&A, private equity or broad spectrum investment management;
  • in-house legal or secondment experience (preferred but not essential);

RESPONSIBILITIES:

  • Provide legal support to facilitate CBREIM's vertically integrated direct and indirect real estate investment management model, including with respect to corporate/structured real estate acquisitions and dispositions across the globe, financings, development transactions, and property-level operational matters.
  • Oversee the structuring of investment programs such as commingled funds (international and domestic, regulated and unregulated) and separate account mandates (including negotiations with investors and their advisers) and assist with employment, regulatory, litigation, corporate governance, fund-level compliance and risk management matters.
  • Work on joint venture agreements, and accompanying ancillary documents, and advise CBREIM's internal stakeholders in relation to the same.
  • Assist with the preparation, review, and/or negotiation of contracts, agreements and other legal documentation required for investment and operations activities of CBREIM's direct and indirect business lines.
  • Develop, guide and support your direct reports in the UK legal team.
  • Attend and contribute to relevant committees (including investment committees) and project management teams.
  • Coordinate external counsel and other external advisors and service providers as necessary to provide high quality specialist advice.
  • Work constructively with other internal divisions necessary for transaction structuring, evaluation, and consummation, including tax, finance, compliance, investor relations, and portfolio management teams.
  • Work with the wider legal, compliance and risk teams globally to develop best practices and ensure consistency relating to investor negotiations, operating policies, deal terms, agreements, and other practices.
  • Stay abreast of emerging issues and market practices in the investment management and real estate industries, provide updates and advisories to executive and senior leaders, and recommend, develop and implement policies, practices, and other strategies to ensure compliance and mitigate or reduce risk.

QUALIFICATIONS & SKILLS:

You need to be commercially focussed and solutions driven with a consistent ability to balance detail with the bigger picture. Candidates would ideally meet the following knowledge and skill requirements:

  • at least 10 years of post-qualification experience in a top-tier international law firm with expertise in one or more of corporate real estate, private M&A, private equity or broad spectrum investment management;
  • in-house legal or secondment experience (preferred but not essential);
  • team player, enthusiastic, energetic, pro-active, responsive and service-driven with a desire, and ability, to continually learn and develop and improve both yourself and those around you;
  • excellent legal drafting skills and the ability to understand complex legal issues and recommend and implement clear and commercial strategies, decisions, and solutions;
  • good working knowledge of relevant regulatory requirements and tax concepts applicable to the real estate investment management business; and
  • strong interpersonal skills to establish and build internal and external relationships, guide and mentor direct reports, manage vendors and service providers and effectively interact with executives, senior-level management groups, clients and other team members.
