Job Purpose / Overview

This role will be responsible for providing legal advice and support and managing the business's compliance obligations. Role responsibility include advising, drafting, reviewing and negotiating various agreements / documents, interfacing with various parts of the business at all levels to advise on legal matters, developing and managing compliance processes and assisting with the resolution of ad hoc legal matters.

Framework & Boundaries

The post holder will report to the CFO.

Principal Accountabilities

Responsible for providing commercial and operational teams with day-to-day legal and regulatory advice including identifying issues, advising accordingly and supporting the business in reaching practical outcomes. To include:

  • contract and regulatory interpretation
  • dispute management
  • legal problem solving
  • Drafting and negotiation of documents, ensuring that they meet the needs of the business and that the legal risks are fully assessed and managed. To include:
  • procurement, maintenance and construction contracts
  • offtake contracts
  • financing agreements
  • confidentiality agreements
  • technical and consulting service agreements
  • documents to support intra-group activities and treasury function
  • Responsible for providing corporate secretarial services, including drafting board and shareholder resolutions and guiding other functions on requirements
  • Responsible for company filings in relevant jurisdictions, working with external company secretarial providers
  • Responsible for ensuring the business is meeting and reporting on its required compliance obligations by identifying requirements and developing processes and reports, including:
  • Company Law
  • Contractual
  • Financial
  • ESG
  • Reviewing and providing recommendations to CFO and other members of the Executive Leadership Team on external counsel engagements
  • Managing external counsel together with functional leads, including engagement terms, scope of work, WIP management and settlement of invoices
  • Managing, drafting and updating legal, compliance, governance and other departmental policies and procedures
  • Discharging certain responsibilities under departmental policies and procedures, including in relation to delegations of authority and third-party due diligence policies, and meeting KYC requirements

Essential

  • Strong drafting, advisory and analytical skills, with attention to detail. Able to get to the heart of the matter but ensure that the details are covered off
  • Excellent oral and written communication skills
  • Requiring minimal supervision, and able to make decisions to manage legal risk in the context of an operating business
  • Commitment to accountability and ownership
  • Ability to build relationships with internal and external stakeholders
  • Comfortable working in a lean structure that is highly customer focused and requires agility and prioritisation

Qualifications & Experience

Essential

  • A minimum of degree level education and post-graduate legal qualification
  • Qualified to practice in the United Kingdom as a solicitor, advocate or barrister
  • A minimum of five years' post qualification experience with corporate legal department or in private practice
  • A minimum of three years' experience in developing and managing compliance processes
