What we're looking for

We are currently looking for a friendly, organized and enthusiastic team player to join our global in house company secretarial team. We are a small team who manage the Jersey parent and UK company secretarial function, and also partner with numerous overseas subsidiaries to support the group company secretarial requirements globally.

This is not a traditional company secretarial role and is an excellent opportunity for someone looking for a variety of responsibilities and who can bring a practical and flexible approach to supporting the team at all levels, from day to day filings to investor transactions.

You will be confident communicating with various global stakeholders in a fast paced environment and will welcome the challenge of developing process improvements and time efficiencies.

Key Responsibilities

  • Provide support to the Senior Company Secretarial & Insurance Manager in relation to ensuring statutory compliance for the various UK and overseas subsidiaries in the Group.
  • Prepare shareholder resolutions, solvency statements, or any other Board authorisations and the co-ordination of Board approval, for UK and overseas group subsidiaries, partnering with external legal teams where necessary.
  • Maintain up to date and accurate share registers for the Group's Parent and Subsidiary companies.
  • Lead on statutory filings, partnering with external service providers where required.
  • Support the administration of share schemes and reconciliation of shareholder loans.
  • Support corporate Group transactions.
  • Support training and development of junior team member
  • Collaborate with global sales and finance teams on a daily basis to collate and submit KYC information as required by clients, banks, regulatory bodies and vendors.
  • Engage with various global finance and operational teams to co-ordinate data gathering for our Group insurance annual renewal process.
  • Day to day management of the global insurance portfolio.
  • Provide the lead on insurance cost planning
  • Handle company and insurance claim processes.
  • Work with global finance teams to ensure the timely payment of group and subsidiary insurance and company secretarial invoices.
  • Lead the company secretarial and insurance year end processes.
  • Improve processes and procedures to achieve time efficiencies.
  • Support the Senior Company Secretarial & Insurance Manager with ad-hoc projects as required.

Skills and Experience

  • Relevant degree and/or professional qualification (Chartered Governance Institute or equivalent)
  • Previous company secretarial experience essential
  • Experience of supporting an annual insurance renewal process desirable
  • Excellent communicator who brings a positive and helpful approach and can develop and maintain effective working relationships at all levels within the organization
  • A pro-active and highly organized individual
  • High level of accuracy and excellent attention to detail
  • A practical and adaptable approach to changing priorities
  • Excellent time management skills, able to prioritise tasks within a fast paced environment and work to tight deadlines.
  • Works well with external parties as necessary as part of a global team.
  • Working knowledge of Word and Excel, and excellent Mail merge skills.
  • Experience of Oracle NetSuite and NetLoan desirable.
  • Experience of working with Diligent and Ledgy desirable
