The Senior Commercial Counsel - Cloud Licensing is a strategic leader responsible for driving deals to the finish line. This position provides a unique opportunity to use and develop a broad set of commercial, tactical, and legal skills. As a Senior Commercial Counsel - Cloud Licensing, you will partner closely with our clients, sales, finance, and product groups to determine the best way to close enterprise level deals aligned to Pega's business objectives. You'll be joining our EMEA Business Office, a dynamic group of commercial and legal professionals, and reporting to a Lead Business Officer. Our team thrives on solving complex challenges and building sustainable client relationships that drive Pega's growth in the region. What You'll Do at Pega:
• Lead commercial strategy for complex technology transactions, developing creative negotiation approaches and solutions that accelerate deal closure
• Develop pricing, draft and negotiate sophisticated as-a-service agreements, from standard subscriptions to complex multi-year framework deals worth millions
• Serve as primary negotiator with client procurement teams and C-level executives, maintaining deal value while building lasting partnerships
• Provide strategic commercial and legal guidance to Sales, Finance, and Operations teams across high-stakes opportunities
• Drive deal structuring decisions that balance client needs with Pega's business objectives and risk tolerance
Who You Are:
• EU Bachelor of Laws degree and/or MBA, or international equivalent
• 10+ years' experience negotiating complex technology licensing transactions
• Significant experience advising clients in structuring cloud subscription transactions
• Proven track record with cloud services and professional services agreements
• Strong analytical and problem-solving abilities, comfortable working with ambiguity
• Excellent communication skills and ability to build relationships with sales teams and clients
• Self-motivated professional who thrives under pressure and tight deadlines
Additional or Preferred Qualifications
Understanding of AI regulatory, data privacy and data security requirements (GDPR) pertaining to cloud transactions
Experience in-house at a technology company, law firm or government agency advising clients on structuring licensing/subscription arrangements.
Fluency in a European language preferably Spanish

• Demonstrated creative problem-solving in contract structuring, finding win-win solutions for complex commercial challenges
• Managed multiple concurrent negotiations while maintaining attention to detail and company standards
• Developed expertise in emerging technology areas such as cloud computing and AI
