Job Introduction
As Senior Assistant Company Secretary, you will work within the Governance team in London.
The will be responsible for helping to ensure that Handelsbanken plc maintains high standards of corporate governance and complies with all requirements relevant to its plc status.
This role, which reports into the Company Secretary, involves working as part of this small but highly involved Governance team and playing a key role in embedding the governance framework to enable the Bank to operate at the high standards of governance expected for this newly established authorised Bank.
Main Responsibilities
- Act as Secretary to main Board Committees, setting the agenda with the Chairs, preparing meeting packs, minuting the meetings and supporting Board members as required. This includes liaison with the Chair, Board members and executive management
- Acting as Secretary of the Executive Committee to ensure its smooth running and standing in for the Company Secretary when necessary
- Advising on the smooth running of the Management Committees (those chaired by members of the Executive team and reporting into the CEO). This includes advising the Chairs and members of those committees on best practice and ensuring suitable management information is produced and escalated. It will also involve oversight of their annual effectiveness reviews
- Helping draft the Governance section of the Annual Report and Accounts and related announcements and presentations and ensuring high standards of corporate governance, company law and compliance are maintained across the Bank
- Providing advice on corporate transactions (e.g. capital issuances, dividends, restructures) from a governance perspective
- Assist in the day-to-day management of the function helping to drive development activity and goals
- Support in relation to and co-ordination of board effectiveness reviews, inductions, policy reviews, terms of reference reviews and on-boarding of Senior Management Function holders
- Involvement, and in some cases lead, Bank wide strategic projects

- Professional Qualification (The Chartered Governance Institute or Solicitor Regulatory Authority) is desirable but not essential
- Previous proven Company Secretarial and Corporate Governance experience acquired through working at a senior level in a large listed or private company; financial services is desirable but not essential
- Previous experience of both attending and running main Board Committees
- Ability to take a pragmatic and commercial approach to deliver solutions to the business, with an ability to influence broadly at all levels, up to and including board level without relying on excessive authority
- Confidence and gravitas to pro-actively negotiate and build strong relationships with senior members of the Bank's managerial team
- Ability to manage a flexible and varied workload in a fast-paced and demanding environment, coordinating both projects and people against tight deadlines, often in relation to significant projects
