What are we looking for
The Senior Legal Counsel will be a key player in ensuring the effective delivery of legal
support to ITM Power and its international operations, playing a significant role in helping ITM Power to achieve its corporate objectives and deliver value to shareholders.
The Legal Department within ITM Power supports the international operations of ITM Power by negotiating commercial agreements, managing corporate transactions, ensuring compliance with legal regulations and managing disputes. In addition, the Legal Department provides all aspects of general and commercial legal advice relating to the operations of ITM Power.
The Senior Legal Counsel will work with the other members of the Legal Team and other key stakeholders within ITM Power to:
• Support the legal activities of ITM Power across all of the business.
• Provide general legal advice to ITM Power on its day-to-day functions and international operations.
• Collaborate with other departments to support the development and improvement of
legal, governance, compliance and contract management processes.
• Support the General Counsel and Deputy Head in the operational performance and self-improvement of the Legal Team.
Responsibilities
• Negotiate key customer contracts (together with related grants, security and other agreements) on behalf of ITM Power.
• Negotiate key supplier contracts, provide flow-down terms for procurement of supplier contracts and support the procurement team.
• Provide legal support on corporate legal matters as and when required.
• Provide general and commercial legal advice and support to ITM Power in its day-to-day operations.
• Support the General Counsel in managing disputes and potential litigation.
• Develop guidance and training materials and deliver training on legal/contractual matters to ITM Power staff.
• Monitor and advise ITM Power on potential and relevant UK and EU legislative changes.
• Instruct and manage external legal advisors.
• When required, support the HR department with employment law advice.
• Develop strong relationships with key internal and external stakeholders, including at Head of Department and Executive levels.
• Provide mentoring and guidance to junior members of the Legal Team.
About You
Knowledge and Experience
• A qualified solicitor with at least 5-7 years relevant post-qualification experience of
commercial and corporate law, ideally within a strong commercial in-house environment
• Experience of managing a wide scope of high value commercial legal matters and agreements essential
• Up to date knowledge of commercial, contract and company law together with the ability to keep abreast of legislation and assess the impact of impending changes in law
• Evidence of operating within effective legal teams that deliver high standards
• Able to manage difficult situations and conflict in a professional manner
• Excellent commercial awareness.
• Ability to develop excellent working relationships at senior levels
• Significant experience of contract law, including structuring, drafting and negotiating all forms of international contractual arrangements
• Up to date knowledge of commercial and company law together with the ability to keep abreast of legislation and assess the impact of impending changes in law
• Experience of dealing with a wide range of stakeholders and advisers, including
specialist legal firms
• Experience of managing external advisors with regard to quality and cost
