Legal Strategy & Compliance:

• Monitor legislation and regulatory environment changes and ensure compliance with local laws and regulatory requirements, including licensing, transfer pricing, and IP Box regimes.
• Support the group's business development by documenting relationships with international exchanges, brokers, and corporate service providers.
• Explore tax planning opportunities for the corporate structure.
• Collaborate with the finance and administrative teams to develop and implement internal policies for regulatory compliance.
• Provide legal support to company partners regarding compliance with Swiss tax and immigration laws.

Risk Management:

• Identify and manage legal risks associated with the firm's activities.
• Provide proactive and strategic advice on potential legal issues.

Corporate Governance:

• Ensure robust corporate governance practices are in place.
• Maintain corporate structure while considering business needs and regulatory and tax aspects.
• Work with HR to develop and implement NDA/NCA contracts and policies across various jurisdictions.
• Draft, review, and negotiate complex contracts, agreements, and other legal documents, related to trading, borrowing, investing, liquidity provision, derivatives, OTC deals, and supplier services.

Leadership & Management:

• Lead and mentor the legal associate, fostering a culture of collaboration and continuous improvement.
• Manage external consultants effectively.

Required Experience:

• Developing and implementing compliance procedures from scratch.
• Ensuring adherence to regulatory requirements.
• Monitoring business processes for legal compliance.
• Anti-Money Laundering (AML) procedures.
• Sanctions monitoring.
• Experience in corporate restructuring (mergers/acquisitions is a plus) considering business needs, regulatory, and tax aspects.
• Proven ability to manage external consultants effectively, ensuring productive results while minimising communication time and costs.
• Preferred experience in the crypto industry and high-frequency trading (HFT)

Requirements

Qualifications:

• Legal degree from an accredited law school.
• Minimum of 10 years of legal experience, with a significant portion in the HFT or crypto industry.
• Sufficient knowledge of securities laws, financial regulations, crypto regulations, and corporate governance.
• Proven track record of successfully managing legal risks and complex legal matters.
• Excellent leadership, communication, and interpersonal skills.
• Ability to work effectively in a fast-paced, high-pressure environment.
• Strong analytical and problem-solving skills.
• High ethical standards and professional integrity.
• Professional proficiency in the Russian language is a plus.
• Experience in due diligence and documentation of M&A transactions is a plus.
