We are looking for a Head of Corporate Governance to join us on a fixed term contract for 12 months. As the Head of Corporate Governance you will be supporting the Director of Integrated Governance to deliver an effective and efficient corporate governance function, managing the decision making processes and structures of the Trust Board of Directors. There will be times you will need to formally deputise for the Director of Integrated Governance as required.

The Corporate Governance Team consists of the Director of Integrated Governance, Executive Assistants, Board Support Officer and Membership Manager. The team are all based in Trust Headquarters and provide support for both Executive Directors and Non-Executive Directors. Main duties of the job

  • To promote excellent standards of corporate governance through formal and informal mechanisms, including formal meetings both internal and external to the Trust.
  • To draft sensitive, confidential and complex documents on behalf of the Director of Integrated Governance, the Chair and Trust Board.
  • To ensure that the Trust Board's decision making processes are well managed and that reports/papers are prepared, agreed and dispatched in compliance with the Trust Board's procedural rules and statutory requirements.
  • To manage the administration of the Trust's Board of Directors and its Committees' meetings, annual work programmes and records.
  • Maintain the annual cycle of business for Trust Board and its Committees, ensuring efficient and timely passage of business through the Trust's assurance and decision making processes.
  • Establish and maintain a review programme for all corporate governance policies and procedures, working with the Director of Integrated Governance to ensure these are up-to-date, approved and communicated as appropriate
  • Support the Trust's Non-Executive Directors in the fulfilment of their roles, including assisting with diary management, IT, remote access and expenses claims.
  • Provide leadership and oversight of the Trust's Membership Office and all membership and Governor Activity.
  • Manage the administrative function within the Chief Executive's office including line management of the Executive Assistants, Membership Manager and Board Support Officer.

Essential

Essential criteria

  • Educated to Degree level or equivalent professional experience gained in a large complex organisation training/experience gained in an NHS environment to post grad diploma level or equivalent training/experience.
  • Working towards relevant post graduate qualification / training (e.g. Chartered / company secretary, legal qualification).
  • Evidence of ongoing commitment to CPD
  • Highly developed knowledge and understanding of the NHS Foundation Trust governance arrangements and legislation.
  • Experience of setting up and maintaining office systems and processes
  • Significant experience of producing highly complex and accurate reports, presentations, briefings, newsletters, promotional material, membership analysis requiring attention to detail at all times with the ability to tailor to different audiences as required.
  • Line management experience
  • Excellent interpersonal skills including a polite telephone manner

Desirable criteria

  • Experience of working in an NHS Foundation Trust environment.
  • Experience of working with different governance structures
  • Experience of working with Governors
