The team

To work as part of a busy Secretariat team in a FTSE 250 media company and provide a high level of support to the Head of Secretariat.

We aim to ensure that each team member is given the opportunity to acquire a mix of skills and experience across all areas to enable delivery of a high quality service to the business.

Key Responsibilities include (but are not limited to):

ITV Board Support

To assist in the coordination and organisation of all aspects of meeting support to the plc Board and its Committees, the executive Management Board, and divisional Studios and Media & Entertainment Boards including -

• Attending and taking minutes at monthly divisional and operational board meetings. Attendance at other ITV boards may be required on an ad hoc basis;

• Compiling agendas based on actions from previous minutes and standing agendas;

• Communicating key deadlines for pack production to stakeholders/ presenters ahead of time;

• Ensuring uniform board documentation packs;

• Co-ordinating and distributing papers via Board Intelligence;

• Preparation of the annual calendar for the Boards to include corporate events and key dates;

• Organising pre-Committee meetings and ad-hoc meeting requests from NED's and board members;

• Updating and maintaining the electronic and paper-based filing systems for Board and Committee related records and minutes.

• Assisting with other ad hoc matters such as NED induction organisation, updating Board registers.

Corporate compliance

To assist in monitoring and providing guidance and advice on compliance issues as required to include -

• Statutory compliance - compliance with the Companies Act and other relevant legislation.

• RIS Announcements - drafting where required and ensuring all announcements made as appropriate.

• Dealing in shares - maintaining and communicating guidance and policies to ensure compliance with FCA rules and maintain Insider and Disclosure Lists.

• Document approval - maintaining and communicating policies for approving and signing documents.

• Corporate policies - revising and maintaining other customary Group Secretariat policies.

• itvplc.com - keeping governance sections up to date.

ITV Report and Accounts

To assist preparation of the Governance sections of the plc accounts including:

• Corporate Governance

• Audit and Risk Committee Report

• Nomination Committee Report

• Remuneration Report

• Directors' Report (Business Review compliance)

• Corporate Governance

• Directors' biographies

• Shareholder Information

Shareholders

To assist in the organisation of General Meetings and ensuring good relations with shareholders are maintained.

Communication

To update corporate departments on relevant issues.

The department also has responsibility for the following areas and it is envisaged that some assistance will be required from time to time.

Share Schemes

The Department has responsibility for operating the Group's executive and sharesave schemes.

Subsidiaries

The Department has responsibility for the management of the Group's UK and overseas subsidiary companies.

Skills you'll need (minimum criteria)

  • Graduate or associate of the Institute of Chartered Secretaries and Administrators with plc experience.
  • Good communication skills and experience of working closely with executives and board members in a large organisation is preferred.
  • Highly organised and self-motivated.
  • Good time management with the ability to work to deadlines.
  • Ability to stay calm under pressure and demonstration of being a good team player.

Other things we're looking for (key criteria)

  • Expected three days a week in the office depending on business needs
  • Experience using different CoSec systems
  • An understanding of ITV's More than TV strategy and how this role supports with what we are looking to achieve
