Job Description
The Governance & Committee Manager is accountable for delivering excellent corporate governance support to Heathrow's main Board, executive and other boards, and committees. The role holder will work very closely with executive and non-executive directors of Heathrow's main Board and shareholders regarding corporate and company secretarial matters and governance requirements arising from the Heathrow Group's corporate governance arrangements.
This position will play a critical role in delivering the success of key strategic decisions as we enter an exciting time for Heathrow, through assisting the Group General Counsel and acting as a pillar of the Secretariat team. This role will provide an excellent opportunity for someone with a Company Secretary or Chartered Governance qualification (or in the process of obtaining one) looking to take the next step in their career.
The role holder will be primarily accountable to the Legal Director, Finance and Corporate and the Company Secretariat.
Responsibilities
- Advising committee chairs and members on points of law and governance, whilst horizon scanning for relevant changes in legislation and corporate governance
- Preparing governance papers
- Delivering first-class executive support including, but not limited to; minute taking, following up on actions after meetings, maintaining rolling Board and Committee calendars of events, reviewing Exec, Board and Committee paper content, preparing Companies House filings, enabling corporate transactions and review of statutory accounts and managing approvals and filings
- Proactively responding to Directors' and Shareholders' queries and undertaking necessary legal research and providing clear, concise and cogent advice in connection with such queries
- Acting as a primary point of contact for shareholders to maintain engagement and purposeful dialogue between investors and the company
Qualifications
- Company Secretary/Chartered Governance qualification or in the process of training
- Experience working in the Company Secretarial field, with evidence of working with Board, Exec committee and sub-committees
- Solid knowledge of corporate governance matters and of different areas of law including corporate law such, specifically the Companies Act
- Excellent administrative skills with existing experience or a keen interest to develop a good degree of technical knowledge relating to corporate and company secretariat issues
- Strong stakeholder management skills in dealing with senior executives, directors, company advisors and other managers with tact and diplomacy
Ideally, you'll also be:
- Qualified solicitor (or equivalent)

Working Location
Our Hybrid working approach offers the opportunity for colleagues in some roles to work from home for an average of two days a week, providing the flexibility to work in an agile way whilst ensuring we deliver for the operational needs of Heathrow. Working arrangements vary from team to team and will be confirmed during the recruitment process. You'll need to be based in the UK and within a commutable distance to Heathrow.
