The Real Estate M&A and Corporate Finance Advisory team is an integral part of Infrastructure and Real Estate team, providing independent corporate finance, M&A and Strategic Advice and execution for real estate projects.

This is across a wide spectrum of interesting real estate and infrastructure situations.

Deloitte Real Estate M&A and Corporate Finance provides strategic advice to Corporates and Financial Investors and works closely with Real Estate Tax and Transaction Services teams that cover all the major sources of capital - Private Equity, Pension funds, Listed institutional landlord.

The Real Estate M&A team in Deloitte was built in 2022 and over the last three years has grown through execution of deals across Europe ranging from $1bn equivalent portfolios to $100m equivalent operational real estate and has over $1bn equivalent of signed quality pipeline. The team continues to grow across Residential, Hotels, Data Centers and other forms of Real Estate.

With the evolution of the business, we are looking for a senior Real Estate M&A and Corporate Finance practitioner that can help grow the business through it's next exciting phase of growth. We are keen to speak to talented, ambitious individuals with relevant Real Estate Corporate Finance and M&A execution experience in another sellside advisory practice e.g. investment bank or the corporate finance arm of real estate brokerage houses. The individual must have an entrepreneurial mindset to own and grow their own brand and P&L over time working closely with the wider firm. The ideal candidate will have the ambition to grow the team, mentor juniors, originate and execute deals working closely with the current team leaders but also our very well connected Real Estate Tax and Transaction Services teams and the wider Infrastructure and Real Estate team.

Your role within this high-performance and fast-paced team will be to lead projects for clients to achieve their strategic objectives through transformational M&A transactions. There will be a wider variety of transactions to work on: M&A sellside (priority), buyside (working with Tax and Transaction Services), joint ventures, capital raise, restructuring, IPO advisory and a variety of asset classes to focus on ranging from office, retail, residential, hotels, logistics, student housing and data centres.

We operate across all Real Estate sub sectors and are witnessing an uptick in real estate M&A activity.

As a Director in Real Estate M&A you will:

  • Lead on a range of Real Estate M&A and Corporate Finance projects
  • Brainstorm strategic and tactical roadmaps for clients co-ordinating across the Infrastructure and Real Estate advisory and broader Corporate Finance teams
  • Keep tabs of the latest trends in the industry, networking with clients and co-advisors, reading the pulse of the industry and using commercial judgement to assess deals
  • Lead the deal team's day to day management of transaction processes, including the preparation of information packs, management presentations, financial analysis and client communications
  • Project manage auction processes across different rounds of bids, evaluate investors, negotiate terms with buyers.
  • Oversee financial modelling, including analysing business forecasts, ensuring coordination between the model and financing term sheet, evaluating scenario analysis and covenant calculations
  • Oversee and mentor a team of talented Assistant Directors, Managers and Assistant Managers and be instrumental in shaping the team's culture by setting the right example as a senior team member

Connect to your skills and professional experience

Successful applicants will be able to demonstrate:

  • Real Estate M&A background either within an investment bank or a sellside advisory house with a focus on real estate corporate transactions
  • Track record of executing real estate M&A transactions
  • Experience of having led preparation of Information Memorandums, run marketing calls and negotiated term sheets
  • Experience of having led and coached junior team members
  • Experience with Financial Modelling (required) to manage and train a team of juniors supporting you
  • Good communication skills (required)

Infrastructure and Real Estate

Our Infrastructure and Real Estate team supports both public and private sector clients on complex infrastructure, real estate, and capital projects. Typical engagements include urban regeneration, transport, energy and renewables, and occupier advisory to central government and large corporate companies.

Regulation and controls are standard practice in our industry and Deloitte is no exception. These controls provide important legal protection for both you and the firm. We are subject to a number of audit regulations, one of which requires that certain colleagues abide by specific personal independence constraints (e.g., in relation to any financial interests and employment relationships). This can mean that you and your "Immediate Family Members" are not permitted to hold certain financial interests (shares, funds, bonds etc.) with audit clients of the firm, and also prohibitions on certain employment relationships (e.g., you are not permitted to hold a secondary employment role with SEC audit clients of the firm whilst being employed by the firm).
