Job Title: Assistant Company Secretary

Location: Stirling Square, London. We offer a range of hybrid and flexible working arrangements – please speak to your recruiter about the options for this particular role.

Salary: £81,500 + depending on experience

What you’ll be doing:

Governance Support

  • Assisting the Deputy Company Secretary with day-to-day corporate matters, including providing support on plc board and committee matters and supporting the preparation of the Annual Report
  • Identifying and implementing governance projects and efficiencies which streamline processes and improve ways of working
  • Maintaining the Company’s shareholder register and supporting effective shareholder relations
  • Working with Group Treasury on Banking Committee secretariat matters and assist with ad hoc governance projects
  • Drafting procedural notes for company secretarial processes
  • Horizon scanning and drafting briefing materials on proposed changes to the regulatory and statutory governance landscape
  • Collating Environmental, Social, and Governance (ESG) data and responding to sustainability questionnaires, such as the Global Reporting Initiative, Carbon Disclosure Project, and Dow Jones Sustainability Index
  • Assisting the management of the corporate website’s materials related to the Company and ensuring compliance with governance requirements

Compliance

  • Manage Regulatory News Service (RNS) announcements, including directors’ dealings, shareholder holdings, directorate changes, total voting rights etc
  • Support day-to-day share buyback activities and file Financial Conduct Authority (FCA) Person Discharging Managerial Responsibilities notifications

Share Registration

  • Managing the relationship with the Company’s registrar and managing the share register and shareholder queries
  • Ensuring the smooth and efficient management of the Company’s dividend payment process and reviewing the related stationery
  • Maintaining accurate records of the Group’s share capital and lead share registration modernisation projects
  • Manage the share plan allotment resolutions ratifications process and address shareholder requests regarding forfeited shares

Subsidiary Management

  • From-time-to-time, providing support to various Group subsidiary boards

Your skills and experiences:

  • A Chartered Governance Institute qualification (CGI) is essential
  • Experience working within a listed company environment, ideally with a large multinational organisation
  • In-depth understanding of relevant legislation and regulatory requirements for a UK listed company
  • Proven expertise in managing corporate governance matters and supporting compliance with various governance obligations
  • Demonstrated ability to effectively develop and maintain relationships with a broad range of internal and external stakeholders with external administrators and service providers, ensuring high-quality service delivery for the Company

The Legal Company Secretariat Team:

This role sits within the legal Company Secretariat team at Head Office, reporting to the Deputy Company Secretary, and plays a crucial part in corporate PLC compliance and governance. The team is responsible for ensuring best practices in all relevant legal and regulatory requirements, providing expert advice on a range of matters, from company law to corporate governance and regulatory compliance. The individual will work within a dynamic team, offering the opportunity to make a significant impact and grow professionally. With a focus on supporting senior stakeholders, the role provides ample opportunities for development while contributing to the strategic objectives of the business.
