At the core of this role, you'll be serving as a critical liaison with our client boards of directors and stakeholders, developing and nurturing lasting relationships. We are looking for someone to oversee services, ensuring operational processes of high quality.

You will be responsible for managing the delivery of company secretarial service to various corporate entities, demonstrating up to date technical knowledge and ensure operational excellence is delivered to clients, as well as providing support, guidance on client engagement and transactions.

  • Manage the delivery of company secretarial operations and various transactions (e.g. incorporation, share allotment, change of directors, strike off, amendment of articles of association, share buy-back, share transfers)
  • Collaborate with others on the setup and/or on-boarding of client structures
  • Manage priorities and critical decisions to support the team
  • Correspond with portfolio of clients, board members, third party intermediaries such as banks, lawyers, accountants and tax advisors
  • Prepare for and participate in board/non-board committee and shareholders' meetings, acting as company secretary; advising on best practice, ensure processes and turnaround are adhered to
  • Monitor changes in relevant legislation and the regulatory environment, taking the appropriate action on behalf of clients and internally

About you...

As our Company Secretary Director, you will be driven to succeed, taking initiative, ownership and wanting results. Someone who has top notch communication skills, proven to build strong client relationships. And of course, you'll have an incredible eye for detail and work with the utmost discretion.

You will be a role model, someone with effective management skills, who will be there to mentor, guide and nurture the junior members of the team.

You will...

  • Be ICSA qualified company secretary with excellent knowledge of Companies Act 2006 and a proven experience in company secretarial matters (circa 8-10 years' experience)
  • Experience in assisting the organisation of board meetings, including agendas, materials and taking minutes throughout.
  • Work with boards and committees of companies to support them in finding pragmatic solutions to governance/secretariat issues.
  • Be authentic in every situation and like to be connected to your team, clients and local communities
  • Like to listen and understand, to show up every day with passion and to stand up for things that matter to you
  • Experience in advising partners, SMEs and LLPs on their company secretarial obligations and carrying out the duties required
